2. Investor Eligibility
Investments in funds managed by Delta Rock® are offered exclusively to (i) "accredited investors" as defined in Rule 501(a) of Regulation D under the Securities Act of 1933 (17 CFR § 230.501(a)), and (ii) for fund vehicles relying on the exception under Section 3(c)(7) of the Investment Company Act of 1940 (15 U.S.C. § 80a-3(c)(7)), "qualified purchasers" as defined in Section 2(a)(51) of that Act (15 U.S.C. § 80a-2(a)(51)) and the rules thereunder (including 17 CFR § 270.2a51-1).
Funds are offered pursuant to Rule 506(c) of Regulation D (17 CFR § 230.506(c)). Delta Rock® will take reasonable steps to verify accredited investor status in accordance with Rule 506(c)(2)(ii), and, where applicable, will separately verify qualified purchaser status, prior to acceptance of any subscription. Self-attestation alone is not sufficient to satisfy these verification requirements.
