Delta Rock® Ouranos Series

Selective access. Single names. Late stage.

A series of single-company vehicles offering accredited investors and qualified purchasers selective access to companies on the late side of the private cycle. Each series holds one company. Each series is sized for conviction.

The Thesis

One company per vehicle. By design.

The category that traditional venture funds call “late-stage” covers a narrow but consequential window: companies that have established revenue, named institutional investors, governance that resembles a public-company-in-waiting, and a path to liquidity within a foreseeable window. Most of the durable returns in this window accrue to specific names rather than to a basket of them.

We structure Ouranos as a series of single-name vehicles for that reason. Allocators choose the names they want exposure to. They are not committing capital to a blind pool. They are not paying a fund to diversify a thesis they wanted concentrated. Each series sits inside its own Delaware Series LLC; each is sized for the conviction the underlying name warrants.

The Structure

How an Ouranos series works.

i. One company per series

Each Ouranos series is a separate vehicle holding a position in a single company. There is no commingling between series. Series economics, holding period, and liquidity all track the underlying name, not a fund-level construct.

ii. Late-stage only

Typical Ouranos targets are Series E and later: companies with established revenue, named institutional shareholders, professional governance, and a credible path to a liquidity event within a foreseeable window. We do not source early-stage or seed positions, and we do not represent that we can.

iii. Sized for conviction

We size series for the strength of the underlying name and the depth of the available access. We are willing to wait, sometimes years, for the right entry. A series that never opens is preferable to a series that opens at a valuation the work does not support.

iv. Delaware Series LLC

The Delaware Series LLC form gives each series its own ring-fenced assets and liabilities while sharing administrative infrastructure across the program. The structure was built for exactly this use case: parallel single-purpose vehicles, isolated by series, accessible to qualified investors.

Eligibility & Terms

Each Ouranos series is offered to (i) accredited investors as defined in Rule 501(a) of Regulation D (17 CFR § 230.501(a)) and (ii) qualified purchasers as defined in Section 2(a)(51) of the Investment Company Act of 1940 (15 U.S.C. § 80a-2(a)(51)).

Series relying on the Section 3(c)(7) exception require qualified purchaser status; accredited investor status alone is not sufficient. Each engagement is subject to the firm’s verification process and to acceptance by the firm.

Liquidity & Exit Risk

An investment in an Ouranos series is illiquid and long-term. An IPO is not promised, may be delayed indefinitely, may not occur, and may occur on terms materially different from current expectations. The series’ ability to return capital to investors depends on actions taken by the underlying company (including its decision to pursue a public offering, acquisition, or other liquidity event) and on conditions outside the series’ and Delta Rock®’s control.

Series interests are subject to transfer restrictions and lock-up provisions and may not be redeemed at will. Investors should be prepared to hold their interest until a liquidity event occurs, if one occurs, and should not invest capital they cannot afford to commit for a multi-year, potentially indefinite, period. Past performance of any pre-IPO company is not indicative of future results. All investments involve risk, including possible loss of principal.
